SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN SUCH JURISDICTIONS, DIONS'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY DIONS'S NEGLIGENCE OR FOR ANY FRAUDULENT MISREPRESENTATION.

11.1 Informal Resolution

11.2 Binding Arbitration

IF THE DISPUTE CANNOT BE RESOLVED INFORMALLY, YOU AND DIONS AGREE THAT ANY DISPUTE SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES, RATHER THAN IN COURT, EXCEPT AS SET FORTH BELOW. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You and Dions each waive the right to: (a) a jury trial; and (b) participate in a class action, class arbitration, or any other representative proceeding. All arbitration proceedings shall be conducted on an individual basis.

11.3 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information. In the event of a force majeure event, Dions will make reasonable efforts to notify you and resume performance as soon as reasonably practicable. If a force majeure event continues for an extended period, Dions may elect to terminate the affected Services or orders without liability.
